Condonation of Delay

IN FOLLOWING CASE CONDOLATION OF DELAY IS REQUIRED

  • where any application required to be filed with the Central Government under any provision of this Act in respect of any matter is not made within the time specified, that Government may, for reasons to be recorded in writing, condone the delay; and
  • where any document required to be filed with the Registrar under any provision of this Act is not filed within the time specified, the Central Government may, for reasons to be recorded in writing, condone the delay.

Proper Procedure to be followed for condonation of delay

  • Board Resolution to be passed at Board Meeting for the following matters-
  • to authorize any KMPs or any director of the Company for filling application to CG,
  • to authorized any practicing professional (CS, CA&CMA) to appear before the CG. (memorandum of appearance)
  • to consider and approve the Application for the condonation of delay,

Application to be filed with CG in Form CG-1 along with the following Document -

  • Copy of Board resolution —
  • Proper application of condonation of delay,
  • Affidavit., .
  • Memorandum of Appearance,
  • Letter of authorization, etc.

1. After filling the application the CG shall properly scrutinize the Application issue the order for accepting or rejecting the same,

2. The Order passed by CG shall be filed with the ROC in Form INC-28 within 30 days from the date of passing of the order,

3. Proper fees shall be paid by the Company,

4. After this the Company shall filed the requisite document for which the application for condonation of delay was made along with proper fees and SRN of the Form INC-28.
