A company name change can signify a fresh start or better reflect your brand. Board Approval Directors propose and approve the change company name at a board meeting. Sometimes there are lots of reasons why we need to change company name because changing the name of the business is a different topic, which we discuss in our different articles already posted, but in this blog we will discuss the change of the company name. Changing the company name is not an easy task because all goodwill, advertisements, and legal papers are also attached to the existing name.
(a) Conversion of name from private to public. or
(b) Conversion of name from public to private,
(c) Change of name from ABC limited to XYZ limited. or
(d) Any other mode of restructuring as permitted under Companies Act.
The first step is to convene a board meeting of the directors of the company to consider and approve the proposal to change company name.
The company shall be required to give a notice of at least 7 days to all the directors for the board meeting because it is a requirement of the Companies Act, 2013.

After deciding upon the new name, an application is required to be made to the Registrar of Companies in RUN—Reserve Unique Name Service, along with a fee of Rs. 1000 for ascertaining the availability of the new name.

A certified true copy of special resolution along with an explanation statement shall required to filed with Registrar of companies in form MGT-14 within 30 days from the date of passing special resolution.
After obtaining the approval of the shareholders, an application for change of name shall be filed with the ROC in form No.INC-24 within 60 days from the date of name reserved to the registrar or 30 days from the date of passing of special resolution, whichever is earlier, along with the following documents:
Application to be made to the registrar of companies for the issue of a fresh certificate of incorporation in the form INC-25.
